ATLANTA, May 14, 2015 (GLOBE NEWSWIRE) -- PRGX Global, Inc. (Nasdaq:PRGX), the world's leading provider of recovery audit services and the pioneer in Profit DiscoveryTM, announced today that Steven Rothman has been named Vice President & Chief Transformation Officer. Mr. Rothman joins the Company from IT Renaissance, an information technology management consulting firm of which he was co-founder and partner. Prior to IT Renaissance, Mr. Rothman held leadership positions at a number of leading companies and consulting firms, including Infosys Consulting, Deloitte Consulting and Andersen Consulting.

In connection with Mr. Rothman’s employment, on May 11, 2015, the Company granted Mr. Rothman options to purchase 60,000 shares of the Company's common stock. The options will vest in equal one-third increments on each of May 11, 2016, May 11, 2017 and May 11, 2018, subject to Mr. Rothman’s continued employment with the Company. Options vesting in 2016, 2017 and 2018 will have exercise prices equal to $4.68, $5.14 and $5.61 per share, respectively. The options also vest in full in the event of a change in control of the Company, provided Mr. Rothman remains continuously employed by the Company until such event.
The grants were approved by the compensation committee of the Company's board of directors, which committee is comprised solely of independent directors, and were granted as an inducement material to Mr. Rothman entering into employment with the Company in accordance with Nasdaq Listing Rule 5635(c)(4).
