Changes in Dovre Group’s share subscription prices
In its meeting on May 28, 2015, the Board of Directors of Dovre Group Plc has decided to lower the share subscription price of the Company’s 2010B, 2010C, and 2013A stock option series by an amount equal to the extra dividend, EUR 0.06 per share, to be distributed as part of the Company’s merger with Norwegian Petroleum Consulting Group AS. The share subscription price of the Company’s 2013B and 2013C stock option series are to be lowered in accordance with the terms of the 2013 stock option plan.
The share subscription period of each stock option series remains unchanged. The new subscription prices per series are as follows:
- 2010B: subscription price EUR 0.36, and subscription period March 1, 2013 – February 28, 2016.
- 2010C: subscription price EUR 0.27, and subscription period March 1, 2014 – February 28, 2017.
- 2013A: subscription price EUR 0.39, and subscription period March 1, 2015 – February 29, 2018.
- 2013B: subscription price EUR 0.52, and subscription period March 1, 2016 – February 28, 2019.
- 2013C: subscription price EUR 0.45, and subscription period March 1, 2017 – February 28, 2020.
The Board of Directors also decided that all future share subscriptions shall be approved by the Board annually once a year, in the Board’s monthly meeting in February, with the aim to reduce the cost of share subscriptions to the Company.
