MEDIGUS ANNOUNCES COMPLETION OF $7.1 MILLION PUBLIC OFFERING


OMER, Israel, July 16, 2015 (GLOBE NEWSWIRE) -- Medigus Ltd. (Nasdaq:MDGS) (TASE:MDGS), a medical device company developing minimally invasive endosurgical tools and a leader in direct visualization technologies announced today that it has completed its previously announced public offering in Israel of 70,525 units at a purchase price of 380 New Israeli Shekels (NIS) (approximately $100) per unit, for gross proceeds of approximately NIS 26.8 million ($7.1 million). Certain U.S. institutions also participated on a private placement basis. The offering closed on July 12, 2015.

Each unit consisted of 1,000 ordinary shares and 500 new Series 9 warrants. The Series 9 warrants trade on the Tel Aviv Stock Exchange and each Series 9 warrant is exercisable into one ordinary share, at an exercise price of NIS 0.532 per share, until July 8, 2018.
