The complaint alleges that the Eagle Rock board of directors violated the federal securities laws and breached its fiduciary duties to shareholders by engaging in a flawed and unfair sales process in relation to the sale of the Company to Vanguard Natural Resources, LLC (NASDAQ:VNR).
