NACD Appoints Vice Chairman, Elects New Directors

Dr. Karen Horn Appointed Vice Chair, Sue W. Cole and Nicholas M. Donofrio Join Board


WASHINGTON, Aug. 3, 2015 (GLOBE NEWSWIRE) -- The National Association of Corporate Directors (NACD), the advocate for the profession of directorship, today announced that Dr. Karen Horn has been appointed to the position of vice chair of its board, and Sue W. Cole and Nicholas M. Donofrio have been elected as directors.

Dr. Karen Horn is a director of Eli Lilly and Company and chair of the compensation committee. She also chairs the nominating and governance committee of the Simon Property Group and the audit committee of Norfolk Southern Corp. and is a director of T. Rowe Price Mutual Funds. Horn serves on the Governing Council of the Investment Company Institute, is vice chair of the U.S. Russia Foundation for Economic Development and the Rule of Law, and is vice chair of the National Bureau of Economic Research. She is also a partner at Brock Capital Group. Horn has served on the NACD board since 2011 and is the co-chair of this year's NACD Blue Ribbon Commission which is examining long-term value creation.

Sue W. Cole is a director of Martin Marietta Materials and chair of the compensation committee. She serves on the boards of Biscuitville, High Point Bank, and Diversified Trust Company. A founding director and past president of NACD's Carolinas Chapter, she also serves on the boards of Cone Health Foundation, United Way of Greater Greensboro, the University of North Carolina at Greensboro University Investment Fund, and the Greensboro Science Center.

Cole is currently the managing partner of SAGE Leadership & Strategy, LLC. She has over 35 years of experience in the financial services industry. Prior to founding SAGE, Cole was a principal with Granville Capital, Inc. She served as the regional CEO for the Mid-Atlantic Region of United States Trust Company, N.A. She also served as president of North Carolina Trust Company, the predecessor to U.S. Trust Company of North Carolina.

Nicholas M. Donofrio currently serves on the boards of Advanced Micro Devices Inc. and Delphi Automotive plc, and chairs the innovation and technology committees for both companies. In addition, he sits on the board of Bank of New York Mellon, where he chairs the technology committee, and is a director of Liberty Mutual and The MITRE Co.

Donofrio brings to NACD a wide range of executive management skills and significant technological expertise. He began his career in 1964 at IBM, where he remained for 44 years in increasingly responsible roles, including those of division president for advanced workshops, general manager of the large-scale computing division, and executive vice president of innovation and technology. In 2008 he was elected an IBM Fellow, the company's highest technical honor, and in the same year received the first U.S. National Nuclear Security Administration Gold Medal ever conferred on a non-U.S. government employee. He is also a member of the National Academy of Engineering, a Fellow of the American Academy of Arts and Sciences, a Fellow of Britain's Royal Academy of Engineering, and the 2010 recipient of the IRI Medal.
