SUMMARY NOTICE OF PENDENCY AND PROPOSED SETTLEMENT OF CLASS ACTION

TO: ALL PERSONS WHO PURCHASED TRI-TECH HOLDING INC. COMMON STOCK BETWEEN SEPTEMBER 10, 2009 AND DECEMBER 12, 2013, INCLUSIVE

YOU ARE HEREBY NOTIFIED, pursuant to an Order of the United States District Court for the Southern District of New York, that a hearing will be held on October 16, 2015 at 10:00 a.m. before the Honorable Kimba M. Wood, United States District Judge of the Southern District of New York, 500 Pearl Street, New York, New York, 10007-1312 (the "Settlement Hearing") for the purpose of determining: (1) whether the proposed Settlement consisting of the sum of $975,000 should be approved by the Court as fair, reasonable, and adequate; (2) whether the proposed plan to distribute the settlement proceeds is fair, reasonable, and adequate; (3) whether the application for an award of attorneys' fees of $325,000 or one-third of the settlement amount and reimbursement of expenses of not more than $45,000 and a case contribution award payment of no more than $9,100 collectively to all Lead Plaintiffs, should be approved; and (4) whether the Litigation should be dismissed with prejudice.
