Placement of capital increase completed at a price of EUR 14.25 per new
share

RIB Software AG was able to place all 3,378,696 new shares issued from the
capital increase from its authorized capital resolved yesterday at a price
of EUR 14.25 per new share. The transaction was led by Berenberg (Joh.
Berenberg, Gossler & Co. KG) as sole global coordinator and sole
bookrunner. Settlement of the transaction is scheduled for 11 September
2015.

The company intends to use the net offering proceeds in the amount of
approximately EUR 46.5 million to extend its iTWO platform and to finance
its further international growth.
