LM Group Holding A/S ("LM Group Holding" and, together with its consolidated subsidiaries, "LM Wind Power") has priced its previously announced green bond issuance (the "Green Bond") of NOK 475,000,000 in aggregate principal amount of floating rate senior secured notes due 2020. The company has swapped this into fixed rate Euros. The Green Bond benefits from the same guarantees and security as secures LM Group Holding's existing secured notes due 2019.
The Green Bond will mature in October 2020, unless earlier repurchased in accordance with their terms. Interest on the Notes is payable quarterly in arrears on January 8, April 8, July 8 and October 8 of each year, beginning on January 8, 2016. The offering of the Notes is expected to close on October 8, 2015, subject to customary conditions.
LM Group Holding intends to use the proceeds of the Green Bond to fund, in whole or in part, the expansion of LM Wind Power through projects, including: the financing of new plants for the manufacture of wind turbine blades; investments in existing plants that manufacture wind turbine blades, with a particular focus on the implementation of certain manufacturing processes and the upgrading of plant and machinery; potential acquisitions of businesses that solely manufacture wind turbine blades; and research and development, with a particular focus on technology facilitating the development of longer wind blades.
