We hereby inform that Reorganization Conditions for reorganization of the companies belonging to Teo Group – UAB Hostex and UAB Hosting – by merging them into UAB Baltic Data Center (BDC) are prepared.
On the basis of the Reorganization Conditions it is planned that UAB Hostex and UAB Hosting shall be reorganized in accordance with the Part 3 of Article 2.97 of the Civil Code of the Republic of Lithuania by way of merger, by merging UAB Hostex and UAB Hosting, which both, after the reorganization, will cease their activities as a legal entities, into UAB Baltic Data Center, that will continue its activities after the reorganization.
UAB Hosting is a dormant subsidiary of UAB Hostex, a provider of domain registration, web hosting and dedicated server services. UAB Hostex is subsidiary of UAB Baltic Data Center, and Teo owns a 100 per cent stake in UAB Baltic Data Center.
UAB Baltic Data Center continuing after the reorganization shall take over all the assets and liabilities as well as the rights and obligations of UAB Hostex and UAB Hosting.
