Nuo Therapeutics Announces Execution of Limited Consent With Deerfield Management Through December 4, 2015

Conference Call to Discuss 3rd Quarter 2015 Financial Results and Corporate Developments Deferred


GAITHERSBURG, Md., Nov. 12, 2015 (GLOBE NEWSWIRE) -- Nuo Therapeutics, Inc. (OTCQX:NUOT), a pioneer in biodynamic therapies, today announced the execution as of November 11, 2015 of a limited consent with Deerfield Management, L.P. and certain of its affiliates pursuant to which the Deerfield Facility Agreement was modified to provide that:

(i) Through December 4, 2015, the amount of cash that is required to be maintained in a deposit account subject to control agreements in favor of Deerfield was reduced from $5,000,000 to $1,750,000 and

(ii) The date for payment of the accrued interest amount originally payable on October 1, 2015 was extended to December 4, 2015.

We believe the modification agreement will allow us to continue our substantive discussions with the lenders to reduce our risk of default, thereby permitting us to continue our operations, but we can provide no assurance that we will be successful in this effort. If we cannot agree on modifications to the Deerfield Facility Agreement, we may be required to curtail or cease operations or, alternatively, seek court supervised protection from creditor claims. Any agreement that we reach with the lenders under the Deerfield Facility Agreement is expected to involve significant dilution to the ownership interests of holders of our common stock, and could involve other conditions causing the value of our common stock to decline.
