Talentum Corporation has received a request to convene an extraordinary general meeting

TALENTUM CORPORATION HAS RECEIVED A REQUEST TO CONVENE AN EXTRAORDINARY GENERAL MEETING

Talentum Corporation has on 19 November 2015 received from Alma Media Corporation a written letter of request to convene an extraordinary general meeting of the company. Alma Media Corporation and its subsidiary hold on 18 November 2015 approximately 94.4% of Talentum's shares. Pursuant to the request, the extraordinary general meeting shall deal with the following items:

  • Amendment of the Articles of Association so that Section 12 is removed and Section 4 is amended so that the Board of Directors shall appoint the chairperson and vice chairperson from among its members
     
  • Deciding on the number of the members of the Board of Directors, their remuneration and members so that
    • the number of the members of the Board of Directors shall be four (4);
    • no remuneration shall be paid to the members of the Board of Directors who are in the employment or service relationship with Alma Media Corporation or a company belonging to the same group of companies with it;
    • Alma Media Corporation's Chief Executive Officer Kai Telanne, Chief Financial Officer Juha Nuutinen and General Counsel Mikko Korttila and Kauppalehti Oy's Chief Executive Officer Juha-Petri Loimovuori shall be elected as members of the Board of Directors for the term ending at the close of the following Annual General Meeting.

The Board of Directors of Talentum Corporation will deal with the received letter of request in themanner provided by the Finnish Companies Act. Talentum will immediately disclose the decisions potentially made on the matter.
