The share of voting rights of Invesco North American Holdings Inc.,
Wilmington, Delaware, USA, in ProSiebenSat.1 Media SE, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 20 November 2015
and, on this date, amounted to 3.33% of the total number of voting rights
(7,277,589 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media SE.

This share of voting rights was attributed to Invesco North American
Holdings Inc. pursuant to § 22 para. 1 sent. 1 no. 6 of the German
Securities Trading Act (WpHG) in connection with § 22 para. 1 sent. 2 of
the German Securities Trading Act (WpHG).

 2. Invesco Advisers Inc.

The share of voting rights of Invesco Advisers Inc., Wilmington, Delaware,
USA, in ProSiebenSat.1 Media SE, Medienallee 7, 85774 Unterföhring,
Germany, exceeded the threshold of 3% on 20 November 2015 and, on this
date, amounted to 3.33% of the total number of voting rights (7,277,589
voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media SE.

This share of voting rights was attributed to Invesco Advisers Inc.
pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act
(WpHG).

 3.  Invesco Management Group Inc.

The share of voting rights of Invesco Management Group Inc., Wilmington,
Delaware, USA, in ProSiebenSat.1 Media SE, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 20 November 2015
and, on this date, amounted to 3.33% of the total number of voting rights
(7,277,589 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media SE.

This share of voting rights was attributed to Invesco Management Group Inc.
pursuant to § 22 para. 1 sent. 1 no. 6 of the German Securities Trading Act

The share of voting rights of IVZ UK Limited, Henley-on-Thames, U.K., in

exceeded the threshold of 3% on 20 November 2015 and, on this date,
amounted to 3.33% of the total number of voting rights (7,277,589 voting
rights of a total number of 218,797,200 voting rights) in ProSiebenSat.1

22 para. 1 sent. 1 no. 6 of the German Securities Trading Act (WpHG) in

The share of voting rights of Invesco Group Services, Inc., Wilmington,
Delaware, USA, in ProSiebenSat.1 Media SE, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 20 November 2015
and, on this date, amounted to 3.33% of the total number of voting rights
(7,277,589 voting rights of a total number of 218,797,200 voting rights) in
