At an extraordinary annual meeting today, DSB has amended a number of articles of DSB’s Articles of Association based on the most recent corporate governance recommendations, including the Danish state’s publication “The State as Shareholder” and recommendations from The Committee for Corporate Governance.
DSB has a number of members in the Corporate Management. In this connection DSB wishes for three of these to join the Executive Board, which has consisted only of Flemming Jensen, CEO since 1 May 2015. Today’s amendment of DSB’s Articles of Association involves a right for DSB to appoint up to four members to the Executive Board.
As from 1 January 2016, the Executive Board will be enlarged to comprise Thomas Thellersen Børner, CFO; Anders Egehus, Executive Vice President, Operations and Susanne Mørch Koch, Executive Vice President, Commercial.
Other amendments of the Articles of Association are of a clarifying or editorial nature.
