„Agrowill Group“ atskiria turto valdymo veiklą nuo gamybinės veiklos


 

Viena didžiausių į žemės ūkį investuojančių bendrovių AB „Agrowill Group“ perleido žemės plotus valdančias įmones kontroliuojančių bendrovių akcijas fondų valdymo įmonės „Synergy Finance“ valdomam investiciniam fondui „Fixed Yield Invest Fund“. Fondui perleistos bendrovės netiesiogiai iš viso valdo apie 6,4 tūkst. hektarų žemės, kurios vertė rinkoje siektų beveik 24 mln. eurų. Fondas už 100 proc. bendrovių akcijų atsiskaitė savo išleistais investiciniais vienetais, kurių grynoji vertė sandorio sudarymo dieną buvo 6,6 mln. eurų.  Antrinės įmonės perleistos kartu su 15,3 mln. eurų siekiančiais finansiniais įsipareigojimais.

„Šiuo sandoriu siekiame atskirti žemės valdymo ir administravimo veiklą nuo pagrindinės – žemdirbystės, grybų auginimo ir gyvulininkystės - veiklos. Žemės valdymas yra labiau tradicija, nei būtinybė, todėl pasirinktoje tausojančios ekologinės žemdirbystės strategijoje mes nenumatome nei žemės valdymo veiklos plėtojimo, nei investicijų į tokį verslą. Pardavę turtą mes perleidžiame ir įsipareigojimus, tad šis sprendimas dar yra ir skolų portfelio rizikos valdymo įrankis. Sandoris niekaip nekeičia kasdienės grupės veiklos – „Agrowill“  nuomosis parduotoms bendrovėms priklausančią žemę ir joje vykdys žemės ūkio veiklą mokėdama nuomą rinkos sąlygomis, o  kompleksiško administravimo reikalaujančią turto klasę pakeis pakankamai likvidus, fiksuotas pajamas generuojantis finansinis turtas, kuris potencialiai gali būti įdomus tam tikro tipo investuotojams“, - sakė „Agrowill Group“ generalinis direktorius Linas Bulzgys. 

Lietuvos bankas „Synergy Finance“ informuotiesiems investuotojams skirtam uždarojo tipo „Fixed Yield Invest Fund“ taisyklėms pritarė šių metų gruodžio 7 dieną. Fondo valdytojai skelbė, kad tikslinė metinė fondo grąža sieks 6 proc.

 „Agrowill Group“ įgyvendina ambicingą gamtai palankios ekologinės žemdirbystės projektą, kuriuo siekiama naujausias mokslo žinias pritaikyti tobulinant gamybos procesus ir paskatinti kitus žemės ūkio rinkos dalyvius aktyviai prisidėti prie Lietuvos žemės ir vandens telkinių tausojimo. „Agrowill Group“ taip pat rengiasi gaminti galutiniam vartotojui skirtus ekologiškus produktus.

Ekologinę žemės ūkio ir maisto produktų gamybą sertifikuojanti įstaiga „Ekoagros“ jau užbaigė visų AB „Agrowill Group“ dirbamų žemės plotų (23,5 tūkst. hektarų) bei grupei priklausančių gyvulininkystės ūkių sertifikavimo procesą. Visa „Agrowill Group“ ūkininkystės veikla bus vykdoma laikantis ekologinės gamybos principų, tačiau 2016 metais išauginta produkcija pagal galiojančias nuostatas dar bus įvardijama kaip pereinamojo laikotarpio. Atitinkamai paženklinta ekologiška produkcija rinkoje atsiras 2017 metais.  

ES ekologiškų maisto produktų rinka pastarąjį penkmetį vidutiniškai auga po  8% per metus. 2014 metais jos apyvarta buvo apie  25 mlrd. eurų. Ypač sparčiai, apie 10%  per metus,  tokių produktų vartojimas auga Skandinavijos šalyse.

AB „Agrowill Group“ yra viena didžiausių investuojančių į žemės ūkį įmonių grupių Lietuvoje. 2014 metais grupės pardavimo pajamos siekė 41,9 mln. eurų, grynasis pelnas siekė 8,9 mln. eurų. Bendrovėje dirba daugiau negu 1000 žmonių. AB „Agrowill Group“ akcijomis yra prekiaujama „Nasdaq OMX Baltic“ ir Varšuvos vertybinių popierių biržose. Šių metų birželį bendrovė paskelbė diegianti aplinką tausojančio ekologinio žemės ūkio gamybos modelį. Pirmoji sertifikuota ekologiška bendrovės žemės ūkio produkcija rinkoje atsiras 2017 metais.

Agrowill Group divests property management from agricultural production business

Agrowill Group, one of the largest agricultural investment companies, has transferred shares of the companies which controls land operating subsidiaries to Fixed Yield Invest Fund, investment fund for informed investors controlled by the fund management company Synergy Finance. In total, the companies indirectly manage around 6.4 thousand hectares of land which has a market value of EUR 24 million. For the 100% of the shares the fund paid by its own-issued investment certificates which on the day of the deal had a market value of EUR 6.6 million. The controlling companies have been transferred together with their financial commitments of EUR 15.3 million.

“By transferring our subsidiaries to the investment fund we seek to separate the business of agricultural land management and administration from our core activities which are farming, mushroom cultivation and cattle breeding. Land management is more like a tradition than a necessity; therefore we did not plan neither the development of land management activities nor investments into such business when we chose our strategy of eco-friendly agriculture. By selling our land assets we also transfer the financial commitments, thus this action also works as a tool for risk management of our debt portfolio. This deal does not change anything in the daily business of Agrowill Group as the group will rent the land owned by the transferred companies and will carry out its agricultural activities there while paying the market rent price. In this way the asset type which requires complex administration will be replaced by a comparatively liquid financial asset which generates fixed income to its owners. This type of asset is surely interesting to certain type of investors”, says Linas Bulzgys, General Manager of Agrowill Group.

On 7th December, 2015, The Bank of Lithuania signed under the rules of Fixed Yield Invest Fund which was established by Synergy Finance. The managers of the fund announced that the target annual return of the fund is 6%.

Agrowill Group is implementing an ambitious nature-friendly organic farming project. The project seeks to adapt the latest achievements in science in order to improve the production processes and encourage other participants of agricultural market to actively contribute to the preservation of Lithuanian land and water resources. Also, Agrowill Group is preparing for the production of ecological products intended for the end users.

Ekoagros, an institution for organic farming and food production certification, finished the certification process of all land (23.5 thousand hectares) and livestock farms rented and owned by Agrowill Group. This means that all farming activity by Agrowill Group will be carried out in accordance to the principles of ecological production. However, all the produce of 2016 will be titled as transitional due to the current provisions. Consequently, production carrying ecological marks will reach the market in 2017.

Over the last decade the market of ecological food products in the European Union has been growing by 8% every year. In 2014 the turnover of this market reached EUR 25 billion. The fastest growth has been visible in the Scandinavian countries, where the consumption of ecological products has been growing by 10% each year.

Agrowill Group is one of the largest agricultural investment companies in Lithuania. In 2014 it reached EUR 41.9 million in sales revenue and EUR 8.9 million in profits. The group currently employs over 1000 people. Its shares are being traded in Nasdaq OMX Baltic and Warsaw Stock Exchange. In June 2015 the company announced about its plans to implement an environmentally sustainable organic agriculture production model. The first certified ecological agricultural production of Agrowill will reach the market in 2017.
