LKQ Italia Bondco S.p.A. Corporation to Offer €500 Million Senior Notes


CHICAGO, April 04, 2016 (GLOBE NEWSWIRE) -- LKQ Corporation (Nasdaq:LKQ) today announced that LKQ Italia Bondco S.p.A., an indirect, wholly-owned subsidiary of LKQ Corporation, intends to privately offer, subject to market and other conditions, €500 million in aggregate principal amount of senior notes. The notes will be fully and unconditionally guaranteed by LKQ Corporation and certain of LKQ’s subsidiaries. LKQ intends to use the net proceeds from the offering to refinance borrowings under its revolving credit facility and for fees and expenses related to the offering.

The notes will not be registered under the Securities Act of 1933 (the “Securities Act”) or the securities laws of any other jurisdiction. As a result, they may not be offered or sold in the United States or to any U.S. persons except pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. The notes will be offered only to non-U.S. persons outside the U.S. pursuant to Regulation S under the Securities Act and to qualified institutional buyers pursuant to Rule 144A under the Securities Act.
