Nederman Holding AB’s AGM

The AGM of Nederman Holding AB (publ) took place on 20 April 2016. A total of
9,248,465 shares were represented at the meeting, equivalent to 79.17% of all
outstanding shares. The meeting approved the Board and CEO’s proposal for a
shareholder dividend for 2015 of SEK 5.0 per share.
The income statement and balance sheets were adopted and the Board’s proposal
for appropriation of profits was approved. The meeting approved Board fees for
2016 to be as follows: a fixed fee of SEK 1,575,000, of which SEK 450,000 to the
Chairman of the Board and SEK 225,000 to each of the other AGM elected Board
members, with the exception of the CEO.
Jan Svensson, Fabian Hielte, Ylva Hammargren, Per Borgvall, Gunnar Gremlin and
Sven Kristensson were re-elected as Board members. Johan Menckel was elected as
new Board member. Jan Svensson was re-elected as the Chairman of the Board.
Ernst & Young AB was re-elected as accounting firm, until the end of the AGM
2017 with authorized public accountant Staffan Landén as the main accountant
until further notice.
