Offer document, offer advertisement, and acceptance form as well as the statement from the Board of Directors regarding the recommended conditional voluntary public offer from Layout Bidco A/S
On behalf of Layout Bidco A/S, a company affiliated to 3i Group plc and certain investment entities managed by 3i Investments plc, the following documents regarding the recommended conditional voluntary public offer to the shareholders of BoConcept Holding A/S are hereby published as attachments in both a Danish and English version: the offer document, the offer advertisement, and the acceptance form. The offer advertisement and the acceptance form is enclosed as appendices 1 and 2 to the offer document. The announcement is hereby published in accordance with Section 4(2) in the Executive Order on Takeover Bids (bekendtgørelse nr. 562 af 2. juni 2014 om overtagelsestilbud).
In accordance with Section 23 in the Executive Order on Takeover Bids (bekendtgørelse nr. 562 af 2. juni 2014 om overtagelsestilbud), the Board of Directors of BoConcept Holding A/S has prepared a statement regarding the offer. The unanimous Board of Directors recommends the shareholders of BoConcept Holding A/S to accept the offer from Layout Bidco A/S. A copy of the statement made by the Board of Directors is attached to this announcement.
Following the offer from Layout Bidco A/S, BoConcept Holding A/S wishes to invite its shareholders to a meeting with Peter Thorsen (Chairman of the Board) and Torben Paulin (CEO), where there will be opportunity to ask questions regarding the offer. A meeting will be held in both Herning and Copenhagen. An invitation to these meetings will be sent out separately.
