NXP Announces Pricing of Senior Unsecured Notes Offering

EINDHOVEN, The Netherlands, July 28, 2016 (GLOBE NEWSWIRE) -- NXP Semiconductors N.V. (NASDAQ:NXPI) (together with its subsidiaries, “NXP”) announced today the pricing of the previously announced offering by its subsidiaries NXP B.V. and NXP Funding LLC of a tap issue for $500 million aggregate principal amount of their existing 4.125% senior notes due 2021 (the “Additional Notes”) at an offering price of 101.875% pursuant to Rule 144A and Regulation S under the U.S. Securities Act of 1933, as amended (the “Securities Act”). The Additional Notes are of the same class as the existing 4.125% senior notes due 2021 issued on May 23, 2016.

The Additional Notes will be fully and unconditionally guaranteed, jointly and severally, on a senior basis by certain of NXP’s wholly-owned subsidiaries located in the Netherlands and the United States (the “Notes Guarantors”) and will be structurally subordinated to the liabilities, including trade payables, of NXP’s subsidiaries that have not guaranteed the Additional Notes. In addition, the Additional Notes will be effectively subordinated to all secured debt of the issuers and the guarantors, to the extent of the value of the assets securing such debt. The issuance of the Additional Notes is expected to close on or around August 1, 2016.

NXP intends to use the net proceeds from the offering of the Additional Notes to repay $200 million aggregate principal amount of its outstanding senior notes due 2016 and use the remainder of the proceeds for general corporate purposes.

The Additional Notes, as guaranteed by the Notes Guarantors, have not been registered under the Securities Act, or under any U.S. state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
