Resolutions from the Annual General Meeting of DONG Energy A/S


Today, DONG Energy A/S held its Annual General Meeting where the following was adopted:

Audited annual report 2016 and distribution of profit

  • DONG Energy’s audited annual report 2016 was approved.
  • The distribution of profit according to the adopted annual report 2016 was approved. The dividend will amount to DKK 6 per share.

Elections, remuneration and discharge

  • Thomas Thune Andersen was re-elected as Chairman of the Board of Directors, Lene Skole was re-elected as Deputy Chairman of the Board of Directors, and Lynda Armstrong, Pia Gjellerup and Benny D. Loft were re-elected as members of the Board of Directors.
  • Peter Korsholm was elected as new member of the Board of Directors.
  • PricewaterhouseCoopers was re-appointed as auditor.
  • The board remuneration for 2017 was approved.
  • The Board of Directors and the Executive Board were discharged from their obligations.

Other

  • The Board of Director’s proposals for amendments to the Articles of Association were approved:
    • Deletion of clauses 4.2-4.6 (the Board of Directors’ authorisations to increase the share capital).
    • Deletion of clause 10.11 (the Board of Directors’ right to appoint observers).
    • Deletion of clause (i) in Appendix 1 to the Articles of Association (the clause is deleted as the gas distribution grid has been divested to the Danish transmission system owner, Energinet.dk).
