Anadarko (APC) Merger Investigation: Halper Sadeh LLP Announces Investigation Into Whether the Sale of Anadarko Petroleum Corporation is Fair to Shareholders – APC

NEW YORK, April 15, 2019 (GLOBE NEWSWIRE) -- Halper Sadeh LLP, a global investor rights law firm, announces it is investigating whether the sale of Anadarko Petroleum Corporation (“Anadarko” or the “Company”) (NYSE: APC) to Chevron Corporation (“Chevron”) is fair to Anadarko shareholders.

If you are an Anadarko shareholder and would like to discuss your legal rights and options, please visit Anadarko (APC) Merger Investigation or contact Daniel Sadeh or Zachary Halper at (212) 763-0060 or sadeh@halpersadeh.com or zhalper@halpersadeh.com.

On April 12, 2019, Anadarko announced that it had entered into an agreement to be acquired by Chevron in a stock and cash transaction valued at $33 billion, or $65 per share. That same day, CNBC reported that “[b]efore Friday’s announcement of the [Chevron-Anadarko] deal, Occidental Petroleum had bid more than $70 a share for Anadarko in cash and stock . . . but [Anadarko] ultimately decided to go with Chevron.”

The investigation concerns whether Anadarko and its Board of Directors violated the federal securities laws and/or their fiduciary duties to shareholders by failing to: (1) obtain the best possible price for Anadarko shareholders; (2) determine whether Chevron is underpaying for Anadarko; and (3) disclose all material information necessary for Anadarko shareholders to adequately assess and value the merger consideration.

On behalf of Anadarko shareholders, Halper Sadeh LLP may seek increased consideration for shareholders, additional disclosures and information concerning the proposed transaction, or other relief and benefits.
