Result of the Annual General Meeting of NeuroSearch A/S

At the Annual General Meeting the following was resolved:

  • The Annual Report 2018 was adopted
     
  • The Board of Directors' proposed resolution on the distribution of profits and losses was adopted
     
  • The proposals from the Board of Directors as per agreement with Nordic Transport Group Holding A/S under item 4.1 of the agenda were adopted, including that
     
    • the Board of Directors was authorised to increase the share capital by issuance of bonus shares to the company's shareholders
       
    • the Board of Directors was authorised to increase the share capital by up to DKK 1,200,000,000 by contribution in kind without pre-emption right for the existing shareholders and the Board of Directors was further authorised to increase the share capital by up to DKK 400,000,000 by cash contribution without pre-emption right for the existing shareholders
       
    • the Board of Directors was authorised to issue warrants
       
    • the nominal value of the company's shares was amended from DKK 0.05 and any multiple thereof to DKK 1 and any multiple thereof
       
    • the Board of Directors was authorised to repurchase own shares
       
    • "NTG A/S" was to be registered as the company's secondary name
       
    • the company's objects as set out in the Articles of Association were amended
       
    • the power to bind the company was amended
       
  • The proposal from the Board of Directors regarding the remuneration of the Board of Directors was approved      
  • Allan Andersen and Mikkel Primdal Kæregaard were both re-elected for the Board of Directors and Jesper Præstensgaard was elected as new member of the Board of Directors. After the General Meeting the Board of Directors has elected Mikkel Primdal Kæregaard as chairman
     
  • PricewaterhouseCoopers was re-elected as auditor
