DIAGNOS Completes Redemption of Convertible Debt


BROSSARD, Quebec, May 15, 2019 (GLOBE NEWSWIRE) -- DIAGNOS Inc. (“DIAGNOS”, “the Corporation” or “we””) (TSX Venture: ADK), (OTCQB: DGNOD), a leader in early detection of critical health issues through the use of its FLAIRE platform based on Artificial Intelligence (AI), is pleased to announce that it has completed the redemption of the outstanding 10% secured convertible debentures and part (85%) of the outstanding unsecured convertible notes (together, the “Convertible Debt”) by issuing 18,651,547 common shares of the Corporation (each, a “Share”) at the deemed price of $0.35 per Share, in payment of the principal amount of the Convertible Debt of $5,790,000 and the unpaid and accrued interest of $738,047, for an aggregate amount of $6,528,047. The intention of the Corporation to proceed with the redemption of the Convertible debt was previously disclosed in the press release dated April 30, 2019.

Certain insiders of the Corporation are holders of Convertible Debt who have received Shares as part of the redemption. These Share issuances are considered “related party transactions” within the meaning of Regulation 61-101 – Protection of Minority Security Holders in Special Transactions (“Regulation 61-101”). One director, Georges Hébert, along with a related person, received an aggregate of 700,579 Shares, and now holds 2.62% of the outstanding Shares and Gestion Maurice Pinsonnault Inc. received 605,257 Shares, and now holds 7.87% of the outstanding Shares. However, these transactions are exempt from the formal valuation requirement and the minority approval requirement prescribed in Regulation 61-101, as the fair market value of these transactions does not exceed 25% of DIAGNOS’ market capitalization, in accordance with Sections 5.5(a) and 5.7(a).

Shares issued hereunder are subject to a statutory four-month hold period ending September 16, 2019 and the transaction remains subject to the final approval of the TSXV and other regulatory approvals, as may be applicable.

All monies quoted in this press release shall be stated and paid in lawful money of Canada and are rounded down to the nearest dollar.
