THIN - Mandatory Notice of Trades

Thin Film Electronics ASA ("Thinfilm") issues this notice on behalf of six existing employees.


Kevin Barber, CEO and primary insider in Thinfilm, today received 30,937,432 subscription rights ("SRs") under Thinfilm's 2019 Subscription Rights Incentive Plan through the exchange program, whereupon SRs granted under plans prior to 2018 have been cancelled and any rights to claim shares under former plans have been waived.

Following these transactions, Kevin Barber and close associates hold or control 46,601,940 SRs in Thinfilm.

Arvind Kamath, EVP, Technology Development and primary insider in Thinfilm, today received 1,050,000 subscription rights ("SRs") under Thinfilm's 2019 Subscription Rights Incentive Plan through the exchange program, whereupon SRs granted under plans prior to 2018 have been cancelled and any rights to claim shares under former plans have been waived.

Following the transaction, Arvind Kamath and close associates hold or control 7,525,000 SRs in Thinfilm.

Giampaolo Marino, EVP, Hardware Solutions and primary insider in Thinfilm, today received 2,000,000 subscription rights ("SRs") under Thinfilm's 2019 Subscription Rights Incentive Plan through the exchange program, whereupon SRs granted under plans prior to 2018 have been cancelled and any rights to claim shares under former plans have been waived.

Following the transaction, Giampaolo Marino and close associates hold or control 6,000,000 SRs in Thinfilm.

Shannon Fogle, VP, Global Human Resources and primary insider in Thinfilm, today received 320,000 subscription rights ("SRs") under Thinfilm's 2019 Subscription Rights Incentive Plan through the exchange program, whereupon SRs granted under plans prior to 2018 have been cancelled and any rights to claim shares under former plans have been waived.

Following the transaction, Shannon Fogle and close associates hold or control 3,660,000 SRs in Thinfilm.

Aditi Chandra, VP, Technology Development and primary insider in Thinfilm, today received 590,000 subscription rights ("SRs") under Thinfilm's 2019 Subscription Rights Incentive Plan through the exchange program, whereupon SRs granted under plans prior to 2018 have been cancelled and any rights to claim shares under former plans have been waived.

Following the transaction, Aditi Chandra and close associates hold or control 3,295,000 SRs in Thinfilm.

Vivian Lam, HR and Executive Assistant and primary insider in Thinfilm, today received 30,000 subscription rights ("SRs") under Thinfilm's 2019 Subscription Rights Incentive Plan through the exchange program, whereupon SRs granted under plans prior to 2018 have been cancelled and any rights to claim shares under former plans have been waived.

Following the transaction, Vivian Lam and close associates hold or control 365,000 SRs in Thinfilm.

The vesting schedule will be: 33.3% of the shares subject to the New Option will be vested on the New Option Grant Date, and the remaining 66.7% will vest in approximately equal quarterly installments over the next 3 years, with approximately 5.55% vesting each quarter on each October 15, January 15, April 15 and July 15 thereafter, subject to the Eligible Optionee’s continued employment or service with the Company or its subsidiaries on each such date.

 

The exercise price of the subscription rights is NOK 0.2335 per share.

The subscription rights expire on 28 May 2024.
