Notification of Major Shareholding
The company was notified on 12 March 2008 that the voting rights in the
171,939,961 shares of 25p each in the company and registered under the clearance
system operated by Værdipapircentralen A/S in the name of Skagen Stichting
Administratiekantoor (“SSA”) have changed.
Other defined terms used in this announcement are:
Nils Jørgen Philip-Sørensen CBE (“JPS”)
Kleinwort Benson (Guernsey) Trustees Limited and Kleinwort Benson (Guernsey)
Trustees (1997) Limited (together “the Trustees”), acting as the trustees of the
trust known as the Skagen 2004 Trust (“the Trust”)
Skagen Limited (“SL”)
Skagen Alpha Limited (“SAL”)
Skagen Gamma Limited (“SGL”)
The company has been advised as follows:
Prior to the acquisition/disposal of voting rights, which occurred on 10 March
2008, the controlled undertaking through which the voting rights were held was
SAL. The voting rights are now held through SGL.
The Trustees (as trustees of the Trust) own 100% of the shares in SL, which owns
100% of the shares in SAL, which owns 100% of the shares in SGL. Each of JPS,
the Trustees (as the trustees of the Trust), SL, SAL and SGL holds indirectly
171,939,961 voting rights (13.4%).
Under the provisions of the Trust, JPS has certain limited rights with respect
to shares in the company which give him control, for the purposes of the Rules,
of the Trust.
