AS Tallink Grupp's subsidiary OÜ TLG Hotell has concluded the sale-purchase
agreement and acquired 100% of OÜ Delegatsioon shares from AS Heal and OÜ
Haapsalu HMR on 07.05.2008. The transaction price of 1 EEK (0.06 EUR) was paid
for all the shares in total. Competition authority has approved the transaction
on 29.04.2008.
The main activities of the company include hotel management, travel arrangement
and tourism related services; catering and related services and other trade
activities. OÜ Delegatsioon currently operates 267 rooms Pirita Top Spa hotel
in Tallinn. Company's share capital is 150 000 EEK (9587 EUR). Mr. Vaido Uibo
was elected as a Chairman of the Board of OÜ Delegatsioon.
From now on TLG Hotell OÜ and its subsidiaries operate three hotels in Tallinn.
In relation to the expansion three additional members were elected to the
management board of TLG Hotell: Hannes Tall, Vaido Uibo and Üllar Tali who is
also the Chairman.
The acquisition will not have a significant effect to the consolidated accounts
of AS Tallink Grupp. This is transaction with the related party according to
the Stock Exchange rules.
