                  Purchase of Shares by Employee Benefit Trust                  



The company was informed today that, on 2 June 2008, the trustees of the Group 4
Securicor Employee Benefit Trust (“the Trust”) purchased 483,775 ordinary shares
of G4S plc at £2.2213 per share.                                                

Following the acquisition, 3,755,703 ordinary shares of G4S plc are held by the 
Trust.                                                                          

The executive directors of the company and other persons within the company     
discharging managerial responsibilities are within the class of potential       
beneficiaries under the Trust and are deemed to have a non-beneficial interest  
in these ordinary shares.  However, none of these persons has acquired a        
beneficial interest in such shares.
