In conformity with the Transparency Directive's transitional provision 6, ProVen VCT plc announces the following:
 
The Company's capital at 30 April 2008 consists of 24,185,953 ordinary shares of 5p each and 14,617,777 'C' ordinary shares of 25p each.  The Company does not hold any shares in treasury. 
 
Therefore the total number of voting rights in ProVen VCT plc is 38,803,730.
 
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, ProVen VCT plc under the FSA's Disclosure and Transparency Rules.
