The  company has  been notified  that Grahame  Gibson a  director of  and person
discharging  managerial  responsibility  within  G4S  plc, sold 180,000 ordinary
shares of G4S plc in the UK on 19 October 2010.  The shares were sold at £2.6581
per share.
