AUGUSTA Technologie AG sells Sensortechnics Group, continuing its clear
focus on the Vision segment

  - First Sensor acquires 100 percent of interests in Sensortechnics Group

Munich, September 29, 2011. Today, digital imaging specialist AUGUSTA
Technologie AG (ISIN DE000A0D6612) agreed to sell 100 percent of the
interests in Sensortechnics GmbH, headquartered in Puchheim, Germany, and
its subsidiaries to Prime Standard-listed First Sensor AG (ISIN:
DE0007201907), headquartered in Berlin, Germany. The transaction is
expected to be completed at the earliest in four to six weeks, following
the successful implementation of a capital increase at First Sensor AG. The
agreed purchase price amounts to approximately EUR 67 million. This
includes an earn-out component of EUR 5 million that is linked to the
profitability in 2011 and a loan of about EUR 5 million that AUGUSTA
provides First Sensor until the end of April 2013 at a standard market rate
of interest.

For the sale of the Sensortechnics Group, AUGUSTA conducted a structured
bidding process at an international scale. Discussions were held with many
strategic and financial investors. The contract was awarded to the
long-term-oriented strategic investor First Sensor, which submitted the
most attractive offer.

For the Sensortechnics Group, sales revenues of almost EUR 60 million and
earnings before interest, tax, depreciation and amortization (EBITDA) of
almost EUR 10 million are expected for 2011. Sensortechnics GmbH, whose
subsidiaries include companies like Elbau GmbH and Klay Instruments B.V.,
has some 270 employees and constitutes the core of AUGUSTA's 'Sensors'
segment. The sale of the Sensortechnics Group represents a milestone in the
strategic focusing on the fast-growing and high-margin 'Vision' segment
(digital image processing).

AUGUSTA intends to become the global leading company in vision
technologies. The sales proceeds give AUGUSTA significantly more leeway for
further acquisitions in the Vision segment.
