Subj.: Simplified Reduction of Share Capital by Reverse Stock Split

On 30. April 2012, the management board and the supervisory board of
Deutsche Steinzeug Cremer & Breuer AG have decided to propose to the
company's annual shareholders' meeting, which takes place on 14 June 2012,
the reduction of the share capital by simplified procedure. It is intended
to reduce the company's share capital in the amount of currently EUR
27,615,618.00, divided into 27,615,618 no-par value bearer shares conveying
a proportional amount of the share capital of EUR 1.00 each, by EUR
9,205,206.00 to EUR 18,410,412.00. The reduction of the chare capital shall
be effected by merging every three old no-par value shares into two new
no-par value shares. Following the reverse stock split, the new share
capital will be divided into 18,410,412 no-par value bearer shares
conveying a proportional amount of the share capital of EUR 1.00 each.
