Hakon Invest AB (publ) held its Annual General Meeting at Näringslivets Hus in Stockholm on Monday, May 20, 2013. Approximately 250 shareholders and guests were present at the meeting, which resolved - among other things - to change the name of the company to ICA Gruppen AB (publ). The Annual General Meeting re-elected Board members Peter Berlin, Cecilia Daun Wennborg, Andrea Gisle Joosen, Magnus Moberg and Jan Olofsson to serve until the end of the next Annual General Meeting. Göran Blomberg, Fredrik Hägglund, Bengt Kjell, Claes-Göran Sylvén and Margot Wallström were elected as new members of the Board. The Annual General Meeting elected Claes-Göran Sylvén as Chairman of the Board. The Board members are presented in more detail on Hakon Invest's website www.hakoninvest.se. The Annual General Meeting resolved that fees to the Board of Directors shall total SEK 3,550,000, of which SEK 850,000 to the Chairman of the Board and SEK 300,000 to each of the other Board members elected by the Meeting. In addition, SEK 825,000 was set aside for committee work. The Meeting further approved the Board's proposed guidelines for remuneration to senior executives, comprising regular salary, pension, severance pay and two variable remuneration schemes. As proposed by the Board, the Annual General Meeting resolved to terminate the incentive programs for 2011 and 2012 in view of the fact that the majority of the former Group management and the majority of the employees are leaving Hakon Invest for employment in ICA-handlarnas Förbund as of May 20, 2013. The Annual General Meeting resolved that no dividend be paid for the 2012 fiscal year. The Meeting approved the proposal to change the company's name to ICA Gruppen.
