The subscription period for the ICA Gruppen AB (publ) new issue with preferential rights for existing shareholders expired on Friday, 24 May 2013. The final outcome shows that 39,902,922 ordinary shares, corresponding to 99.19% of the offering, were subscribed for with primary preferential rights. In addition, applications have been made to subscribe for 15,247,316 ordinary shares without the support of subscription rights. The new issue is thereby fully subscribed and the company will receive approximately SEK 5 billion. Per Strömberg, CEO of ICA Gruppen: "We are grateful for the confidence shown by our shareholders by participating in the rights issue. Interest in taking part has been considerable." Ordinary shares subscribed for without subscription rights have been allocated in accordance with the principles specified in the prospectus. Settlement notes for these shares will be sent out this week to subscribers to whom shares have been allocated. The total number of shares in ICA Gruppen AB (publ) will increase as a result of the new rights issue to 201,146,795, divided into 119,078,903 ordinary shares and 82,067,892 C shares. The company's share capital will thereby increase from SEK 402,293,590 to SEK 502,866,987.50 distributed among 201,146,795 shares, each with a quota value of SEK 2.50. Ordinary shares and C shares carry the same voting rights but a different dividend entitlement. While ordinary shares have an unlimited dividend entitlement, C shares do not carry entitlement to cash profit distribution. All C shares will be converted into ordinary shares on 1 January 2016, which means that subsequently the company will only have one class of share in the form of ordinary shares with dividend entitlement. The total number of shares will remain unchanged after the conversion.
