Director and PDMR shareholdings
The following directors and PDMRs have been awarded deferred awards of Rathbone Brothers Plc ordinary shares in respect of 50% of bonus awards due for 2014. Shares were awarded at £21.83 being the average of the closing mid-market share price during the 20 business days to 18 March 2015.
Ordinarily, deferred share awards will vest after the third anniversary of the financial year for which the award was made (i.e. after 31 December 2017). Vesting is not subject to the satisfaction of performance conditions but all or part of an award may lapse in certain circumstances, for example in the event of the director or PDMR being considered a 'bad leaver'. The remuneration committee also has the discretion to reduce outstanding, unvested awards in exceptional circumstances.
