AX V Nissens ApS announces that its solicitation of consents from the holders of its Senior Secured Floating Rate Bonds due 2022 (ISIN DK0030400890) (the "Bonds") has not succeeded.
AX V Nissens ApS (Registration Number (CVR) 38647571) (the "Issuer") announces that its consent solicitation (the "Consent Solicitation") from holders of the Bonds (the "Bondholders") to amend certain terms and conditions of the Bonds (the "Proposal") as set out in the consent solicitation memorandum dated 21 May 2019 (the "Consent Solicitation Memorandum") has not succeeded.
Unless otherwise defined herein, capitalized terms used in this announcement are used with the same meanings given to them in the Consent Solicitation Memorandum.
In connection with the Consent Solicitation, the bondholders’ meeting to consider the Proposal (the "Bondholders’ Meeting") was held on 17 June 2019 at 09:00 CET. At the Bondholders’ Meeting the Proposal was not approved by the required majority of the Adjusted Nominal Amount of the Bonds.
The Terms and Conditions of the Bonds will therefore not be amended and the Bonds will remain outstanding pursuant to the existing Terms and Conditions.
