Bitcoin Tracker Certificates and Ethereum Tracker Certificates

Change of FX Rate/FX Source


CoinShares XBT Provider AB (publ) (the “Issuer”) announces that, due to a change in the FX price source used by Compass Financial Technologies SA (the “Calculation Agent”) or any other Calculation Agent specified in the Final Terms applicable to the relevant Series of Certificates, the definition of “FX Rate” in the Programme is being amended.

Terms used in this announcement and not otherwise defined bear the same meanings given to them in the base prospectus of the Issuer dated 14 July 2017 relating to its “Issuance Programme” for the issue of Bitcoin Tracker Certificates and Ethereum Tracker Certificates (the “Base Prospectus”).

The term “FX Rate” has the meaning attributed to the term in Condition 5 (Settlement Amount) as set out in the Base Prospectus.

In Condition 5.1, FX Rate is defined as:

the Bloomberg FX Fixing for (i) in relation to Certificates denominated in SEK, USDSEK; and (ii) in relation to Certificates denominated in EUR, USDEUR, in each case as of 4:00 PM (London time) as published on the following website http://www.bloomberg.com/markets/currencies/fx-fixings/ or such other successor website as may be designated such fixings in the future”.

The Issuer hereby wishes to give prior notice that on and from the Amendment Date (as defined below):

      1.   the definition of “FX Rate” in Condition 5.1 shall be amended to the following wording:

“the WMR FX Benchmarks for: (i) in relation to Certificates where the Settlement Currency is SEK, USDSEK; and (ii) in relation to Certificates where the Settlement Currency is EUR, USDEUR, in each case as of 4:00 PM (London time);”.

      2.   Condition 1.1 will be amended to include the following new definition:

WMR FX Benchmark” means, in relation to a currency pair and a time specified for such purpose, the WM/Reuters spot rate for that currency pair at that time, administered by FTSE International Limited (or any successor administrator) (the "Administrator"), calculated by the Administrator in accordance with its benchmark methodology as in effect and updated from time to time, and made available to the Calculation Agent through the Administrator's designated distribution channels.”,

and

      3.   the definition of “Asset Disruption Event” in Condition 1.1 shall be amended to include a new limb (vi) after the words “due to any other reason not attributable to the Issuer” with the following wording:

or (vi) the WMR FX Benchmarks (or any successor FX Rate) are discontinued, suspended, or otherwise unavailable to the Calculation Agent, whether as a result of the Administrator ceasing to administer the benchmark, the Administrator ceasing to be authorised or registered under the applicable benchmark regulation, or the Calculation Agent's licence or other right of access to the FX Rate being suspended, terminated, or not renewed (in each case regardless of whether attributable to the Issuer or the Calculation Agent)”.

The amendments in 1. 2. and 3. above (together, the “Amendments”).

The Amendments affect the definition of Settlement Amount, as the FX Rate is a part of the formula used to calculate the Reference Price which in turn is used to calculate the Settlement Amount.

The products of the Issuer impacted by the Amendments include:

  • Ether Tracker One – SEK launched 09/10/2017 (also known as Ethereum Tracker One)
  • Ether Tracker Euro – EUR launched 09/10/2017 (also known as Ethereum Tracker Euro)

Investors should be aware that the term “FX Rate” was referred to as the “FX Source” in the base prospectuses of the Issuer for the Issuance Programme approved by the Swedish Financial Services Association (the “SFSA”) in 2015 and 2016. The terms “FX Source” and “FX Rate” are used interchangeably.

Accordingly, any references to the term “FX Source” and/or “FX Rate” in the Programme documentation shall be amended accordingly on the Amendment Date.

Subject to approval from the SFSA of the Amendments in the latest base prospectus of the Issuer relating to the Issuance Programme, the Amendments are expected to take effect on 17 September 2026, which is expected to be the date of the publication of such base prospectus (the “Amendment Date”).
