VANCOUVER, British Columbia, Oct. 26, 2026 (GLOBE NEWSWIRE) -- Blue Jay Gold Corp. (TSXV: JAY) (OTCQB: JAYGF) (FSE: JAY) (“Blue Jay” or the “Company”) is pleased to announce a private placement financing with Ocean Partners UK Limited (“Ocean Partners”), an international trader of base and precious metal concentrates, for 3,333,300 units (the “Units”) at a price of $0.90 per Unit for aggregate gross proceeds to the Company of $3.0 million (the “Private Placement”). Each Unit will be comprised of one common share of Blue Jay (a “Common Share”) and one Common Share purchase warrant (each, a “Warrant”), with each Warrant entitling the holder to acquire one Common Share at a price of $1.20 for a period of one year from the closing date of the Private Placement. Following closing, Ocean Partners is expected to hold approximately 6.5% of the issued and outstanding Common Shares on a non-diluted basis. Net proceeds will be used to fund exploration and study work at the Company’s Steller Gold Project (the “Steller Gold Project”), including the Company’s preliminary economic assessment planned for the first half of 2027, and for general working capital.
The Private Placement is subject to the approval of the TSXV and other customary conditions. All securities issued under the Private Placement will be subject to a statutory hold period of four months and one day from the date of issuance.
