Dobson Communications Files Shelf Registration With SEC


OKLAHOMA CITY, July 11, 2001 (PRIMEZONE) -- Dobson Communications Corporation (Nasdaq:DCEL) and Dobson Financing Trust today announced the filing of a shelf registration statement with the Securities and Exchange Commission covering up to $1.0 billion of debt securities, preferred stock, common stock, debt warrants, equity warrants, units, and trust preferred securities. Upon effectiveness of the registration statement, Dobson Communications and Dobson Financing Trust may offer, from time to time, any combination of these securities, in one or more series or issuances, at prices and on terms that they will determine at the time of offering.

The registration statement also registers an aggregate of 18.9 million shares of common stock for possible sale from time to time by certain of the Company's shareholders, including Dobson CC Limited Partnership, the Company's largest stockholder, and affiliates of J.W. Childs Equity Partners II, John W. Childs, and their affiliates and co-investors.

The proceeds to Dobson Communications from any offerings are expected to be used for general corporate purposes, which may include, but are not limited to, acquisitions of Federal Communications Commission licenses and related assets, working capital, capital expenditures and growth of the Company's business.

The registration statement relating to the above securities has been filed with the Securities and Exchange Commission, but has not yet become effective.
