American Cellular Corporation Announces Results of Exchange Offers for 9 1/2% Senior Subordinated Notes Due 2009


OKLAHOMA CITY, August 1, 2001 (PRIMEZONE) -- American Cellular Corporation today reported that it had completed its exchange offers for $700 million principal amount of its outstanding 9 1/2% Senior Subordinated Notes due 2009. As of midnight on July 31, 2001, the holders of $ 696.8 million principal amount of American Cellular's outstanding 9 1/2% Senior Subordinated Notes due 2009 had tendered their notes in exchange for new 9 1/2% Senior Subordinated Notes due 2009 which have been registered under the Securities Act of 1933.

American Cellular Corporation is jointly owned by Dobson Communications Corporation (Nasdaq:DCEL) and AT&T Wireless Sevices, Inc. (NYSE:AWE). American Cellular currently has operations in twelve states located throughout the United States.
