STOCKHOLM, Sweden, April 26, 2002 (PRIMEZONE) -- Sigma's Annual General Meeting on April 25, 2002, adopted the Parent Company and Consolidated income statements and balance sheets. The Meeting resolved to discharge the Board of Directors and President from any liability for the fiscal year. In accordance with the Board's proposal, no dividend will be paid for fiscal 2001.
In his address at the Meeting, Sigma's President, Sune Nilsson, presented Sigma's operations and the interim report released earlier during the day. Goran Larsson, Konstantin Caliacmanis, Gunder Lilius, Christina Hultmark Ramberg, Sune Nilsson and Dan Olofsson, were re-elected to the Board. At the statutory Board meeting following the Annual General Meeting, Dan Olofsson was re-elected Board Chairman.
The Board was authorized to make decisions on the issue of up to 1,500,000 new Series B shares, excluding rights to the current shareholders. The purpose of a possible new issue is to enable full or partial payment with Sigma shares for company acquisitions and to facilitate increased institutional ownership in the company through the private placement of new shares with Swedish or foreign institutional investors.
