The Terms of Sigma's Preferential Issue of New Shares Set


GOTHENBURG, Sweden, April 10, 2003 (PRIMEZONE) -- Sigma:

- Two new shares for each old share held . Subscription price ofSEK 2.70 per share . Issue provides proceeds of SEK 145 M

On March 28, 2003 Sigma announced a preferential issue of shares. The Board of Directors of Sigma AB has now established the terms for the issue. The Board's decision with respect to the issue is subject to approval of Sigma's Annual General Meeting that is to be held on April 29. In accordance with the terms, the company's shareholders may subscribe for two new Sigma shares for each old share held, as a result of which 37,860,564 shares could be subscribed. The issue price is SEK 2,70 per share, which means that the preferential issue will yield a maximum of SEK 102 M, excluding issue costs. Series A and Series B shares carry rights to subscribe for Series A and Series B shares, respectively.

In addition, Sigma's Board of Directors, subject to authorization by the Annual General Meeting, plans to implement a private placement in the amount of SEK 43 M that was mentioned in the press release issued on March 28.

Information has been received showing that at least SEK 93 M of the total issue amount of SEK 145 M is expected to be subscribed.

As stated earlier, the purpose of the issues is to strengthen Sigma's capital base and increase the company's freedom of action.


 The timetable for the rights issue is as follows:
 April 29          Annual General Meeting of Sigma AB. Last day for
                   trading in company shares including rights to
                   participate in preferential issue.
 May 5             Record date for participating in the new issue.
 May 7             Prospectus is issued.
 May 12 - May 28   Trading in subscription rights.
 May 12 - June 3   Subscription period.
