Summary of Alfa Laval's Annual General Meeting


STOCKHOLM, Sweden, April 27, 2004 (PRIMEZONE) -- Alfa Laval's Annual General Meeting was held today at Scandic Hotel Star in Lund, Sweden, and was attended by approximately 250 persons.

Dividend

The Meeting approved the Board's proposal regarding a dividend of 4:00 SEK. April 30 2004 was approved as record date to receive the dividend and payment of the dividend is estimated to occur through Vardepapperscentralen VPC AB on May 5 2004.

The Board of Directors

Gunilla Berg was elected as new member of the Board of Directors, which means that the Board of Director's now consists of Gunilla Berg, Anders Narvinger, Lena Olving, Finn Rausing, Jorn Rausing, Christian Salamon, Bjorn Saven and Waldemar Schmidt. In connection to the meeting the Board held a constitutional meeting. At this meeting Anders Narvinger was elected Chairman of the Board and Bjorn Saven was elected deputy Chairman.

Auditors

Re-election of Ingvar Ganestam and new election of Kerstin Mouchard as auditors and re-election of Hakan Olsson and new election of Thomas Swenson as deputy auditors. All are authorised public accountants at Ernst & Young AB. The election of auditors is for a four-year period until the close of the Annual General Meeting in 2008.

Nomination committee

The Meeting also decided that there shall be a nomination committee to prepare and make proposals to the Annual General Meeting regarding the election of members of the Board of Directors and, if applicable, auditors.

The nomination committee shall comprise five members among the five largest shareholders at the close of the third quarter. The Board Chairman shall at the end of the third quarter contact the five largest shareholders in the company, which then have the right to appoint the members to the nomination committee. In addition, the nomination committee may decide that the Board Chairman shall be a member of the committee. If any of these five shareholders declines the right to appoint a member to the committee, the next shareholder in terms of size is offered the opportunity to appoint a member to the committee. The committee should be chaired by an owner representative, but the Board Chairman may also be appointed as Committee Chairman. Information about the composition of the nomination committee shall be announced publicly in the Company's third-quarter interim report.
