Promotora Valle Hermoso Inc. to Acquire OJSC 494 UNR


ORLANDO, Fla., March 27, 2008 (PRIME NEWSWIRE) -- Promotora Valle Hermoso, Inc. ("Promotora") (OTCBB:PVHI) announced today that it has signed a definitive agreement to acquire the Russian 494 UNR, Open Joint Stock Company ("UNR"). Under the proposed terms of the agreement, Promotora will acquire UNR for $51,250,000 in Promotora Valle Hermoso common stock. The value of the Promotora shares will be based upon the Thursday, March 19, 2007 closing market price of $2.50 per share. Upon successful completion of the financial audit and due diligence process, Promotora will issue UNR 20,500,000 PVHI common shares.
