Share purchase in OÜ Unigate - additional information


AS Eesti Ehitus issued a company announcement on 27 March 2009 regarding the
share purchase in OÜ Unigate from a related party:

Due to questions raised on the specific details of the transaction and to avoid
possible misunderstandings, AS Eesti Ehitus discloses additional information. 

Purchase price details

1. Fixed price 20.0 million kroons (1.3 million euros) that includes loan and
accrued interest receivables of AS Arealis (previous owner of 50 per cent of
shareholding of OÜ Unigate) in sum of 18.5 million kroons (1.2 million euros)
at the date of transaction. These receivables will be transferred to AS
Linnaehitus from AS Arealis without additional fees. 


2. In addition to the fixed price the agreement includes also a contingent
price to be paid. This contingent price becomes apparent as the development is
realized and when a part of the land plot owned by OÜ Unigate that is under
environmental protection is sold. Thus, the buyer does not have to pay in
advance for any possible future incomes. 

Payment of contingent price to AS Arealis is dependent on OÜ Unigate's ability
to sell the developed net housing space in future periods. As per agreement the
calculation of contingent payments starts after the moment 44,444 square meters
of net housing space has been sold. I.e. from the moment when the sold net
housing space exceeds 20.0 million kroons (1.3 million euros). The price for
one square meter of net housing space is 450 kroons (28.8 euros). It is fixed
and is not adjusted with inflation or other components of changes in time value
of money. Payment of contingent price is made once in a year as the development
progresses. 

In case of possible sale of part of land plot under environmental protection,
the buyer pays to seller 37.5 per cent of the sales price. If the sale does not
happen the buyer does not bear any additional expenses related to that. The
share purchase agreement was made with the presumption that the value of land
plot under environmental protection is nil. 


Comments given to press
AS Eesti Ehitus gave additional comments to newspaper Äripäev on 30 March 2009
in which it gave the following additional information: 

- The valuation of the land plot owned by OÜ Unigate was carried out by an
independent valuator OÜ Kinnisvaraekspert Tallin on 16 February 2009; 
- The market value of 50 per cent of the land plot is approximately 47.5
million kroons (3.0 million euros).
