Changes in Nordecon International Group structure


AS Nordecon International and its wholly-owned subsidiary AS Nordecon Infra
signed a share purchase agreement by which AS Nordecon Infra sold its 56 per
cent shareholding in Latvian company SIA Nordecon Infra to Group parent company
AS Nordecon International. This is an intergroup restructuring and as a result
there is no change in Group's participation in SIA Nordecon Infra shareholding. 

SIA Nordecon Infra is a Nordecon International Group company domiciled in
Latvia. Its main activities include various infrastructure projects (instalment
of underground pipelines, environmental engineering). As of 2009 the SIA
Nordecon Infra sub-group also includes SIA LCB, a road construction company.

The restructuring was made in line with Nordecon International Group strategy
for 2009-2013. As per strategy the sub-groups operating in foreign markets are
owned directly by Group parent company AS Nordecon International. This type of
group structure enables better strategic management of foreign operations by
Group parent company. 

The transaction does not have material economical effect on the activities of
Nordecon International Group and does not qualify as an acquisition of
significant holding within the meaning of “Requirements for Issuers” of the
NASDAQ OMX Tallinn Stock Exchange regulations. The members of the supervisory
board and management board of AS Nordecon International do not have any other
personal interests in the incorporation of the company. 


Nordecon International is a group of construction companies whose core business
is general contracting and construction management in the construction of
buildings and infrastructures in Estonia, Latvia, Lithuania and Ukraine. In
addition, in Estonia our companies act as independent contractors in road
construction and maintenance, environmental engineering, the assembly of
reinforced concrete elements, and the performance of cast-on-site concrete
works. The parent of the Group is AS Nordecon International, a company
registered and located in Tallinn, Estonia. In addition to the parent company,
there are more than 20 subsidiaries in the Group. The consolidated revenue of
the Group in 2008 was 3.9 billion kroons (247 million euros) and the
consolidated net profit was 171 million kroons (11 million euros). Nordecon
International Group employs more than 1,200 people. Since 18 May 2006, the
company's shares have been quoted in the main list of the NASDAQ OMX Tallinn
Stock Exchange.
