HI-MEDIA :MODIFICATION WITHIN THE BOARD OF DIRECTORS

Paris, March 23, 2012 - Online media group Hi-media's Board of Directors (Code ISIN FR0000075988 - HIM, HIM.FR), one of the European leaders in monetizing the Internet audience, announces today having taken note of the effective and immediate resignation of the company IDI of its Director mandate.

This Director's mandate was to end at the combined Shareholders Meeting of May 3, 2012. The Board of Directors decided not to reallocate this function.

As of today, the Board of Directors is composed of 6 members:

Mr. Cyril Zimmermann, Chairman of the Board of Directors and CEO of Hi-Media Group,
Mr. David Bernard,
The company United Internet AG, represented by Mr. Norbert Lang,
And three independent Directors who are Mr. Michael Kleindl, Mr. Jean-Charles Simon and Mr. Jocelyn Robiot.
