African Consolidated Resources plc, the AIM listed resource and development company focused in Southern Africa announces the issue of new ordinary shares of 1p each in the Company ('Shares') as follows:

  • In respect of services by directors pursuant to agreement to pay a proportion of basic remuneration in shares as announced on 30 September 2011

  • In respect of a bonus to Michael Kellow as announced on 30 September 2011, 1,000,000 Shares at 3.53p, the closing price on 27 September 2011. 

  • In pursuance of a subscription by the African Consolidated Resources Employee Benefit Trust as announced on 30 September 2011, 15,500,000 Shares at a price of 6p per Share. 

The resultant holding of the directors (including pension funds) following these issues is as follows.  These holdings do not include any interests over Shares held through the Company's Employment Benefit Trust.

Application has been made to the AIM division of the London Stock Exchange for 18,911,348 Ordinary Shares to be admitted to trading ('Admission').  Admission is expected to occur at 8:00 am on 5 April 2012.  Following Admission, the total number of voting rights in the Company will be 477,895,124 with each Share carrying the right to one vote.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in ACR under the FSA's Disclosure and Transparency Rule.
