Issue of Equity and Total Voting Rights


ALBION TECHNOLOGY & GENERAL VCT PLC

The final allotment, for the tax year ending 5 April 2013, of New Ordinary shares of nominal value 1 penny per share in Albion Technology & General VCT PLC under the Albion VCTs Top Up Offers 2012/2013 (which were launched on 19 October 2012) took place on 5 April 2013 at an issue price of 86.60 pence per New Ordinary share.

Applications for 1,601,492 New Ordinary shares in Albion Technology & General VCT PLC were received.

The net proceeds for this allotment by the Company are approximately £1,345,430.

The gross sum raised by the Company by way of the issue of new shares in the last 12 months is approximately £1,935,000 (representing approximately 5% of the issued share capital).

Application has been made to the Financial Services Authority for 1,601,492 New Ordinary shares to be admitted to the Official List and to the London Stock Exchange for the New Ordinary shares to be admitted to trading on the London Stock Exchange's market for listed securities.

It is expected that admission will become effective and that dealings in the shares will commence on or before 8.00 a.m. on 18 April 2013.

This second closing of the Albion VCTs Top Up Offers 2012/2013 on 5 April 2013 the gross sum raised under the Offers was £11,200,000 (including amounts reinvested and applications received for the 2013/2014 tax year). The Offers constitute separate offers made by each of the Albion VCTs which are participating in it.

The Offer remains open until 12 June 2013 for the 2013/2014 tax year.

Following this allotment, and in conformity with the Transparency Directive's transitional provision 6, we would like to notify the market of the following:

Albion Technology & General VCT PLC's capital as at 5 April 2013 consists of 46,777,180 Ordinary shares with a nominal value of 1 penny each. Of these, 4,341,070 Ordinary shares are held in Treasury.

Therefore, the total number of voting rights in Albion Technology & General VCT PLC is 42,436,110, which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Albion Technology & General VCT PLC under the FSA's Disclosure and Transparency Rules.
