Voting results of the
extraordinary general meeting of shareholders of
RoodMicrotec N.V. (the 'Company')

held on Friday 23 January 2015 at 10am
at Hotel Lumen, Stadionplein 20 in Zwolle

With 15% of the shares in issue as of 24 December 2014 (totalling 43,519,416), the extraordinary general meeting of shareholders of RoodMicrotec unanimously adopted the following resolution.

Adjustment of authorised capital from 50 million to 80 million ordinary shares
Of the present authorised capital some 44 million shares are in issue.

Explanation
The number of applications for projects in the fourth quarter significantly increased compared to the third quarter of 2014. Furthermore, there is a strongly increasing trend in the number of applications since the start of 2013 by a factor of between 3 and 4.
In the contract awarding process by customers, a proven track record, which in the case of RoodMicrotec comprises over 45 years of experience, plays a key role, as well as effectiveness and flexibility. The potential volume increase of such projects is also a major factor. If the projects grow, this almost automatically means that our input in these projects also grows. These customers will only deal with market parties who can handle such growth.

The raising of our authorised capital therefore provides an important basis for long-term relationships with our customers.
