Result of the Extraordinary General Meeting
Held on 10 February 2016

On 10 February 2016 at 7:00 am CET, an extraordinary general meeting of Scandinavian Tobacco Group A/S ("STG") was held.

As described in the offering circular, which was published by STG on 28 January 2016 (the "Offering Circular"), an extraordinary general meeting has been held at which Søren Bjerre-Nielsen, Dianne Neal Blixt and Luc Missorten were elected by the general meeting as new members of the Board of Directors. Anders Obel, Lars Dahlgren and Fredrik Lagercrantz resigned as members of the Board of Directors in connection with the general meeting as also described in the Offering Circular.

Following the general meeting, the Board of Directors of STG consists of Jørgen Tandrup (Chairman), Conny Karlsson (Deputy Chairman), Søren Bjerre-Nielsen, Marlene Forsell, Tommy Pedersen, Dianne Neal Blixt, Luc Missorten and Henning Kruse Petersen elected by the general meeting and Kurt Asmussen, Charlotte Nielsen, Hermod Hvid and Hanne Malling as employee representatives.
Conny Karlsson, Søren Bjerre-Nielsen, Marlene Forsell, Tommy Pedersen, Dianne Neal Blixt, Luc Missorten and Henning Kruse Petersen will be regarded as independent members of the Board of Directors. Jørgen Tandrup, Kurt Asmussen, Charlotte Nielsen, Hermod Hvid and Hanne Malling will not be regarded as independent members of the Board of Directors. 

Moreover, the Board of Directors has decided that the Audit Committee will consist of Søren Bjerre-Nielsen (as chairman of the Audit Committee), Marlene Forsell and Dianne Neal Blixt.

The Board of Directors have further decided that the Remuneration Committee and Nomination Committee will consist of Jørgen Tandrup (as chairman of both committees), Conny Karlsson and Henning Kruse Petersen.
