STOCKHOLM, Sweden, March 14, 2002 (PRIMEZONE) -- The Annual General Meeting of Nordea AB (publ) will be held on 24 April 2002 at 15.00 hours Swedish time at Aula Magna, Stockholm University. Shareholders can also participate in the Meeting via satellite broadcast at 16.00 hours Finnish time at the Finlandia Hall in Helsinki, and at 15.00 hours Danish time at Scandic Hotel Copenhagen.
On the agenda for the Meeting is the Board's proposal for a dividend of 0.23 euro per share.
The following are proposed as members of the Board of Directors for a period of two years: Kjell Aamot, Hans Dalborg, Bernt Magnusson, Jorgen Hoeg Pedersen and Maija Torkko. Vesa Vainio has declined re-election. At last year's Annual General Meeting Dan Andersson, Edward Andersson, Harald Arnkvaern, Thorleif Krarup, Claus Hoeg Madsen and Timo Peltola were elected as members for a period of two years.
Maija Torkko, born 1946, since 1996 has been Senior Vice President, Corporate Controller with the Nokia Group. Since 2001 she has been a member of the Board of the International Accounting Standards Board (IASB). Maija Torkko has B.Sc. in economics from Turku School of Economics and Business Administration as well as an LL.M. degree from Helsinki University
The board proposes certain amendments to the Articles of Association, mainly comprising deletion of the regulations governing the right of shareholders to participate in the Annual General Meeting via satellite broadcast in Helsinki and Copenhagen.
In addition, the Board proposes the introduction of an options programme for top management and other employees. Information on this proposal is published in a separate press release.
Notification to attend the Annual General Meeting will be published in Dagens Nyheter, Svenska Dagbladet, Helsingin Sanomat, Hufvudstadsbladet, Berlingske Tidende and Jyllands-Posten on 22 March, and will be available on the same date on Nordea's home page, www.nordea.com.
